Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Grad Path LLC platform, website, content, and related services (the "Service"). By creating an account, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who you are contracting with

The Service is provided by Grad Path LLC, a Wyoming limited liability company with a registered address at 30 N Gould St Ste N, Sheridan, WY 82801 ("we", "us", "our"). "Career First Nexus" is a software product owned and operated by Grad Path LLC. You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase. If you are buying on behalf of a graduate or another person, you confirm you have authority to do so.

2. Reseller / Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's Buyer Terms apply to the payment, billing, tax, cancellation, and refund mechanics of your purchase and are available at https://www.paddle.com/legal/checkout-buyer-terms.

3. Your account

You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity under your account. Notify us promptly at support@careerfirstnexus.com if you suspect unauthorized use.

4. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent, or abusive purpose;
• infringe the intellectual property or privacy rights of any person;
• upload malware, attempt to probe, scan, or interfere with the Service's security;
• scrape, resell, or redistribute Service content;
• share your account, lessons, or downloads outside the household that purchased.

5. License & intellectual property

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content for personal, non-commercial use by the graduate and their immediate parent/guardian. All software, lessons, videos, written materials, templates, trademarks, and branding remain the property of Grad Path LLC or its licensors. You may not reverse engineer, copy, modify, or create derivative works.

6. User content

You retain ownership of resumes, applications, and other content you submit. You grant us a limited license to host, process, and display that content solely to provide the Service.

7. Service availability & changes

We work hard to keep the Service available but do not guarantee uninterrupted or error-free operation. We may update, add, or remove features at any time. Lifetime access means access to the Service for as long as Grad Path LLC continues to operate it.

8. No employment guarantee

Grad Path LLC provides education, tools, and coaching frameworks. We do not guarantee any job, interview, salary, or employment outcome. Your results depend on your effort, market conditions, and many factors outside our control.

9. Refunds

See our Refund Policy. In short: you may request a full refund within 30 days of purchase by contacting support@careerfirstnexus.com or Paddle at paddle.net.

10. Suspension & termination

We may suspend or terminate your access for material breach of these Terms, suspected fraud or chargeback abuse, security risk, or non-payment. You may stop using the Service at any time.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Grad Path LLC's aggregate liability arising from or related to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or lost opportunities. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You agree to indemnify and hold Grad Path LLC harmless from claims arising out of your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. Disputes will be resolved in the competent state or federal courts located in Wyoming, unless applicable consumer law gives you the right to bring proceedings elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.
